Terms and Conditions of Service

1. Introduction and Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of services, courses, workshops, and facilities ("Service") provided by LogicLlabs LTD ("We," "Us," "Our").
By registering a participant, making a payment, or otherwise accessing our Service, you ("Client," "You") agree to be bound by these Terms and by all policies referenced herein, including our Child Protection and Safeguarding Policy.

The Client confirms they are the legal parent, guardian, or an authorised party acting on behalf of the participant(s).

These Terms constitute the entire agreement between LogicLlabs LTD and the Client.
2. Booking, Fees, and Payment
3.1 Registration
A place on the Service is reserved only upon receipt of a completed booking form (online or paper) and payment for the same.

Payment Cycle: The Service operates on a recurring monthly subscription basis. The monthly Fee is due by the 5th day of each calendar month.

Recurring Authorization: By agreeing to these Terms, the Client authorizes LogicLlabs LTD (or its third-party payment processor) to automatically charge the designated payment method for the recurring monthly Fee on the due date.

Payment Method: All payments must be made via pre-authorized method (e.g.,Payment to Bank Accounts, recurring card payment).
3.2 Late or Failed Payments

Suspension: If a scheduled payment fails, LogicLlabs LTD will notify the Client. If the payment remains outstanding after 7 days, the Participant's access to the Service will be immediately suspended until the outstanding Fee is successfully processed.
3.3 Price Changes
LogicLlabs LTD reserves the right to review and amend the monthly Fee upon giving the Client at least 30 days written notice.
Participants already enrolled will receive prior notification of any rate changes affecting their subscription.
4. Cancellations, Refunds, and Amendments
4.1 Cancellation by Client (Participant Withdrawal)

Subscription Model: The Service operates on a recurring monthly subscription model. To terminate enrollment, the Client must provide written notice by email to hello@logiclabskids.co.uk at least 7 days before Monthly Payment Date

Effective Date: If notice is given within the required period, the cancellation will be effective at the end of the current billing cycle, and the automatic payment will/Can be stopped for the following month.

No Pro-Rata Refunds: LogicLlabs LTD does not offer refunds or credits for partial monthly periods. If the Client cancels mid-month, the Participant retains access to the Service until the end of that paid monthly cycle, but no refund will be issued for unused days.
4.2 Non-Refundable Items

No refunds or credits are provided for missed sessions, non-attendance, or suspension due to disciplinary or payment failures.
4.3 Cancellation or Amendment by LogicLlabs LTD

LogicLlabs LTD reserves the right to cancel a Service entirely due to unforeseen circumstances (e.g., permanent facility closure, programme discontinuation). In such an event, the Client will be offered a full refund for any prepaid monthly fees covering periods not yet delivered.

If a minor amendment to the schedule (e.g., change of tutor, time shift) is necessary, no refund is provided
4.4 Force Majeure Event and Adverse Weather

LogicLlabs LTD shall not be deemed to be in breach of these Terms, nor liable for any failure to perform, if performance is delayed or prevented by circumstances beyond its reasonable control ("Force Majeure Event").

A Force Majeure Event includes, but is not limited to: acts of God, pandemics, epidemics, natural disasters, fire, flood, adverse weather conditions (e.g., severe snow or flooding that impacts safe travel/facility access), acts of terrorism, war, industrial action, power failure, or government-mandated lockdowns or closures.
5. Child Safety, Conduct, and Media
5.1 Adherence to Safeguarding Policy

The Client acknowledges and agrees that the Participant and Client will abide by the LogicLlabs LTD Child Protection and Safeguarding Policy Procedure (UK) and the Online Safety Policy. These policies are available on our website here.

The Client agrees to disclose any special educational needs, medical conditions, or behavioural concerns that may affect the Participant’s safety or the safety of others.
5.2 Participant Conduct
LogicLlabs LTD reserves the right to exclude a Participant from the Service, without refund, if their behaviour is deemed disruptive, harmful, or violates the Staff Code of Conduct or Safeguarding Policy. The Client will be contacted immediately in such an event.
5.3 Health, Safety, and Disclosure

Fitness to Attend: The Client has a duty to ensure that the Participant is fit and well enough to attend the Service. The Participant must not attend if suffering from any contagious illness (including flu, vomiting, or diarrhea) or if required to self-isolate under current public health guidance.

Duty to Inform: The Client must inform LogicLlabs LTD immediately of any existing medical conditions, severe allergies, injuries, welfare concerns, or special educational needs (SEN) that may affect the Participant’s ability to safely participate or require specific attention from personnel.

Accuracy of Information: The Client is responsible for ensuring that all emergency contact and medical information provided during registration is kept accurate and up-to-date throughout the Participant's enrolment period
5.4 Media and Recording Prohibition

The Client and any associated adults (e.g., family members) are strictly prohibited from taking any photographs, video recordings, or audio recordings of Participants, staff, or activities while on LogicLlabs LTD premises or during online sessions.

Any breach of this prohibition will result in immediate removal from the premises or online session and possible termination of the Service without refund.
5.5 Participant Exclusion
LogicLlabs LTD reserves the right to exclude a Participant from the Service, without refund, if their behaviour is deemed disruptive, harmful, or violates the Staff Code of Conduct or Safeguarding Policy. The Client will be contacted immediately in such an event.
6. Data Protection and Intellectual Property
6.1 Data Protection (GDPR)

LogicLlabs LTD is committed to protecting the privacy of the Client and Participant data. All personal information collected will be processed in accordance with the UK General Data Protection Regulation (GDPR) and the Data Protection Act 2018.

6.2 Intellectual Property (IP)

The copyright and all other intellectual property rights in the Service materials, including presentations, workbooks, code templates, and instruction designs, belong to LogicLlabs LTD

Any new IP created by the Participant during the Service (e.g., a software project) is owned by the LogicLlabs LTD and LogicLlabs LTD reserves the right to use non-confidential Participant work for internal training or promotional purposes, provided consent for media use is granted.
7. Liability and Indemnity
7.1 Limitation of Liability

LogicLlabs LTD accepts no responsibility for any loss or damage to property or possessions brought onto our premises or used during online sessions.

LogicLlabs LTD shall not be liable for any indirect, special, or consequential loss arising under these Terms (e.g., loss of profits or wasted expenditure).
7.2 Indemnity
The Client agrees to indemnify and hold LogicLlabs LTD harmless from any claim, demand, loss, or liability (including legal fees) arising from the Client's or Participant's breach of these Terms, negligence, or willful misconduct.
8. General Provisions
8.1 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

8.3 Changes to Terms and Policies

LogicLlabs LTD reserves the right to review, update, and change these Terms and Conditions, all associated policies (including Safeguarding and Online Safety), and the monthly Fees at any time.

LogicLlabs LTD will notify the Client of any material changes at least 7 days in advance of the change becoming effective.

Continued use of the Service by the Participant after the effective date of the changes will constitute the Client’s acceptance of the updated Terms and Conditions.
